By using our Weebly for Web Designers Service (“Service”), you agree to be bound by the Terms of Service (“ToS”), Privacy Notice, these additional terms and conditions (“Weebly for Web Designers Terms”) and all other terms, policies and guidelines applicable to the Service. Defined terms will have the same meaning as those found in the ToS, unless otherwise re-defined herein.

1. Your relationship with your Client is strictly between you and the Client. We will not be a party to any agreement you have with your Client. The manner and means that you choose to perform your services are in your sole discretion and control; however you agree to perform these services in a timely and professional manner, consistent with industry practice and in conformance with the Tos, Privacy Notice and these Weebly for Web Designers Terms.

2. You accept full responsibility for all Client Websites under your account and for each Client Website’s adherence and acceptance to our ToS And Privacy Notice.

3. You may sell the Services to Clients either as stand-alone products or combined with your own products and/or services. You may also use the Services for your own use. While we may allow you to resell the Service under a private label, this private label is in no way guaranteed and we will in no way be held responsible for any failure to maintain its private label. You may use the Services and resell these sites and services to Clients.

4. In the event your Client contacts us, we will direct them to contact you. In the event you fail to support your Client and we receive a request from your Client stating that you have not been responsive, we reserve the right to support your Client directly.

5. Payments for your use of the Service are calculated on a per website basis as well as any applicable annual fees. Each Client Website under your account that is published live to a Client’s domain will incur monthly service charges. These service charges are billed to the credit card on file for your Weebly account.

6. Service charges are billed each month for the upcoming month’s service, based on the total service charges of all Client Websites.

7. No refunds will be given for any days remaining in your current billing cycle.

8. You understand and agree that you, as the Account Holder, are ultimately responsible for payment for every Client Website under your account. If, at any time, the billing obligations of any Client Website are not met, we will have the right to disable the Client Website until the billing obligation is met.

9. You may sell to Clients and service Clients only directly, and may not subcontract the sale, service, or support of the Services to any third party without Weebly’s prior written consent.

10. You will not purchase search engine or other pay-per-click keywords (such as Google AdWords), or domain names that use Weebly or Weebly’s trademarks and/or variations or misspellings thereof.

11. You will comply with all applicable laws, rules, regulations and directives, including but not limited to those relating to e-mail marketing and “spamming”. Without limiting the generality of the foregoing, You will (a) not send any e-mail regarding Weebly and/or Weebly related entities to any individual or entity that has not requested such information and (b) always include “unsubscribe” information at the top and bottom of any e-mail regarding Weebly, Weebly related entities and/or the Service.

12. You will not make any unauthorized, false, misleading, or illegal statements in connection with this Agreement or regarding the Services. If You provide any information that is inaccurate, not current, false, misleading or incomplete, or if Weebly has reasonable grounds to suspect that your information is inaccurate, not current, false, misleading or incomplete, Weebly has the absolute right, in its sole discretion, to terminate this Agreement and the Services.

13. You will treat all Client data in accordance with all laws and regulations applicable to the data, including without limitation, any applicable data protection law. You will implement policies and procedures with respect to the Client data that are at least as protective of the rights of the Client data as are provided in the Weebly Privacy Notice.
